Payments

  • The Client assumes responsibility to pay the agreed price according to the payment terms stated in the quote.
  • All prices are net, meaning all additional charges such as VAT, customs, and other third-party imposed fees shall be borne by the Client.
  • The Client will only obtain permanent usage rights upon full payment for the recording.
  • Non-payment may result in the revocation of usage rights.

Intellectual Property

  • All intellectual property rights in the deliverables produced in a project will be owned by the Client upon full payment of all amounts due to VoiceArchive.
  • VoiceArchive will retain a copy of the deliverables, for the purpose of addressing potential re-recordings, pickups or updates, unless the Client explicitly requests otherwise.

Cancellations and Booking Fees

  • If the Client cancels an order after it has been initiated, VoiceArchive is entitled to charge a recording fee. This fee will not exceed the value of the order.
  • If a live session or voice artist booking is canceled less than one working day before it was scheduled, VoiceArchive is entitled to charge a booking fee, which will also not exceed the value of the order.

Cancellation of Usage Rights

  • For certain types of projects, the quoted price is split between recording effort (“Basic Studio Fee (BSF)”) and the price for usage rights (“Usage fee”). In the event that the Client decides to terminate the project or usage rights before the agreed period:
    • If the Client cancels the project before the recording session, the Client will pay VoiceArchive 50% of the Basic Studio Fee (BSF) and 0% of the usage fee.
    • If the Client cancels the project after the recording session but before the delivery of the voice-over, the Client will pay VoiceArchive 100% of the BSF and 0% of the usage fee.
    • If the Client cancels the project after the delivery of the voice-over but within the following 14 days hereafter, the Client will pay VoiceArchive 100% of the BSF and 0% of the usage fee.
    • If the Client cancels the project after the delivery of the voice-over but before the usage of the voice-over commences, the Client will pay VoiceArchive 100% of the BSF and 50% of the usage fee.
    • If the Client cancels the usage rights of the voice-over after the usage of the voice-over commences, the Client will pay VoiceArchive 100% of the BSF and 100% of the usage fee.
  • Both VoiceArchive and the Client agree to notify each other in writing of any cancellation of the project or usage rights, providing a valid reason and evidence for the cancellation.
  • The cancellation fee shall be paid within 30 days of the cancellation notice.
  • Upon cancellation, both parties agree to cease using and delete the voice-over.

Delays

  • VoiceArchive is committed to delivering orders promptly, with 95% of orders delivered on time. However, delays are sometimes unavoidable. In such cases, VoiceArchive will strive to find an alternative solution to satisfy the Client. The Client may not claim damages caused by delays in delivery or services.

Re-recordings

  • VoiceArchive will correct errors made by VoiceArchive or their suppliers without additional cost to the Client. Errors include reading mistakes, pronunciation errors (despite provided pronunciation aid), failure to adhere to the indicated style, and post-production errors such as file splitting and naming. 
  • If the Client requires text amendments after the point of purchase, additional charges will apply. Text amendments of up to 200 words by recommended voice talents will be charged $150. Prices for amendments by non-recommended voice talents may vary, and the Client will be informed of the cost before the order is confirmed. Amendments exceeding 200 words will be charged at the list price. Retakes and text amendments will be accepted up to three months after delivery.

Legal Provisions

  • These terms and conditions (a) supersede all prior agreements, written or oral, between the Client and VoiceArchive, (b) may not be modified, amended, or discharged, and (c) will be binding upon and inure to the benefit of the Parties hereto and their respective heirs, successors, and assigns.
  • These terms and conditions, including any disputes concerning their existence and validity, are governed by the laws of Denmark, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and without regard to conflict of law principles.
  • Any dispute arising out of or in connection with these terms and conditions must be settled by arbitration arranged by the Danish Institute of Arbitration in accordance with their rules. This arbitration clause does not prevent interim legal measures such as an injunction or similar actions prior to the institution of arbitration proceedings. The place of arbitration shall be Aarhus, Denmark, and the proceedings shall be conducted in English. 

 

Use of AI and Synthetic Voices

  • The use of any audio material provided by VoiceArchive—including but not limited to demos, samples, previews, or final recordings—for the purpose of training, creating, generating, cloning, or modifying AI-generated, synthetic, or machine-learning-based voice models is strictly prohibited.
  • Audio demos downloaded or accessed from the VoiceArchive website may not be used, in whole or in part, for any form of AI-generated voice-over, voice cloning, or synthetic speech, whether for commercial or non-commercial purposes.
  • When purchasing a voice-over from VoiceArchive, the Client is granted usage rights strictly limited to the agreed usage as specified in the quote and order confirmation. These rights do not include the right to use the recordings for AI-generated voice-over, voice cloning, dataset creation, or any similar automated or synthetic reproduction.
  • Any unauthorized use of VoiceArchive audio material for AI-related purposes shall be considered a material breach of these Terms and Conditions and may result in immediate revocation of usage rights and potential legal action.
